QuickShotSports.com provides the web site, web hosting, video editing, sport news aggregation, season standings, product information, camp information, classified ads, an online high school sports forum- all at no cost to all participating high schools. High schools which submit video - total games or high lights - receive 70% of the proceeds from the sale of games and video clips. Videoagraphers that submit video and or high lights - receive 70% of all proceeds from the sale of games and video clips.
To contribute to QuickShotSports. com - you would do the following:
- Register as a contributor to QuickShotSports.com - (no cost or commitment)
- Send in your vdeo (digital video tape, VHS, DVD or CD (av or mpeg format)
- QuickShotSports.com will catalog, edit and post high lights in the appropriate sport section
- QuickShotSports.com will add the video and high lights to our catalog, will take and deliver orders, and remit proceeds to your high school or videographer.
Please read the QuickShotSports.com Network Agreement below, review and accept the agreement - no cost or obligation to submit videos. Post your review of the agreement and acceptance - information on your high school or video enterprise will be collected and used to identify you when you submit video. QuickShotSports.com Network Agreement
Please read the Member Agreement carefully.
The QuickShotSports.com Network is an association of high schools (which film their varsity sports), freelance videographers and videography copyright holders (hereinafter known as "Member") who have applied and been accepted to supply video of high school sports for display and sale on QuickShotSports.com web site. QuickShotSports.com provides promotion and a venue for the public to view digital video supplied by Member. QuickShotSports.com is the property of QuickShotSports, Inc.
Newsworthiness, Public Interest.
QuickShotSports.com is a high school sports news and information publishing Web site. QuickShotSports.com provides a venue for the display of newsworthy video of high school sports events by its Member photographers. QuickShotSports.com’s primary interest in the display of such video is to inform the public, through video, about high school sports events. The sale of video products or commercial licensing of images displayed on the QuickShotSports.com site is incidental to the mission of QuickShotSports.com to inform the public about high school sports though its data, editorial content and images.
Copyright, Taking of Video is Speculative.
Taking, editing and submission of digital video by Member to QuickShotSports.com are on a speculative basis. Images displayed on the QuickShotSports.com site remain the property of Member and are licensed to QuickShotSports.com for public display on the Internet. Member also grants QuickShotSports.com a license to sell video products displayed on the QuickShotSports.com site. Video displayed on the QuickShotSports.com site are available for sale via a web-based transaction system. Member retains all commercial rights to their images; however, Member has the option of granting QuickShotSports.com the authority to license their video for commercial use or to other third parties (see paragraph titled QuickShotSports.com as Commercial Licensing Agent).
License to Member.
Subject to QuickShotSports.com Editorial Rights (as listed below), QuickShotSports.com grants Member a license to display video on QuickShotSports.com, provided that video meet QuickShotSports.com’s business and editorial standards.
Royalty Compensation.
Upon the sale and shipment of video products, Member will earn a royalty fee based upon 70% of the purchase price (less any applicable taxes). Funds will be remitted with in two business days of collected and good funds from the buyer.
Photographic Product Pricing.
QuickShotSports.com shall set prices for video products sold through QuickShotSports.com. QuickShotSports.com may change prices at any time for any reason. It is in QuickShotSports.com and the Member's interest that prices be set at such a level as to stimulate demand and to maximize revenue. Net proceeds are defined as the total sale price of a product sold, not including shipping and handling charges, minus the the cost of production, order processing and marketing. Generally, the production, processing and marketing expense represent ten (10) percent of the suggested retail price.
QuickShotSports.com as Commercial Licensing Agent. Member has the option of allowing QuickShotSports.com to license video supplied to the QuickShotSports.com site for commercial use. Member will receive 50 percent of the net proceeds on any video that is licensed for use. QuickShotSports.com may also use third parties to license video appearing on the QuickShotSports.com site to commercial publications. Members may affirmatively indicate their consent to participate in QuickShotSports.com commercial licensing program on their Member home page.
Use of Video for Promotions, Web Site Display.
Member grants QuickShotSports.com a perpetual, non-exclusive and worldwide license for use of video in promotions and display on the QuickShotSports.com site. This licensed use of video is granted by Member to QuickShotSports.com to assist with advertising and promotion in order to publicize QuickShotSports.com to the public, and to enhance the appearance of QuickShotSports.com and its publications, advertising and promotional materials. QuickShotSports.com is also authorized by Member to provide a sub-license for the display of video by official high school sports governing bodies in connection with their publications.
Warranties of Member.
Member is the sole and exclusive owner of all images supplied to QuickShotSports.com and of the right to license such video. The images supplied by Member do not knowingly infringe the copyright, trademark, right of privacy or the publicity rights of any entity and do not knowingly defame any third party.
No Liability for Unathorized Use of Images. Member expressly acknowledges and agrees that QuickShotSports.com shall not be liable to Member for the loss, theft or destruction of any video that is supplied to QuickShotSports.com. QuickShotSports.com shall promptly notify Member in the event that QuickShotSports.com discovers unauthorized or infringing use of Member image(s). Upon receipt of such notice, Member shall control any legal action and shall notify QuickShotSports.com, in writing, as to the manner in which Member will proceed in respect of such infringement. Member shall not have the right to cause QuickShotSports.com to be joined as a plaintiff in any litigation concerning their image(s).
14-Day Moratorium on Photo Sales.
Upon submission of video to QuickShotSports.com site, Member agrees not to merchandise or sell video products to consumers for a period of fourteen (14) days from the date of the event in which said video were taken. In no way, should this Moratorium constrain Member from the sale or license of video to commercial publications.
QuickShotSports.com Editorial Rights.
QuickShotSports.com may choose to edit, display and sell all, some or none of the video submitted by Member. QuickShotSports.com reserves the right to selectively edit submitted video to enhance image quality. QuickShotSports.com may also crop and resize video to QuickShotSports.com determined optimum sizes. QuickShotSports.com may place a watermark on digital video to discourage unauthorized duplication from the QuickShotSports.com site.
IIndependent Contractors.
Member is an independent contractor. Member takes video on their own account. QuickShotSports.com does not assign Member to take video of particular events, or to video particular subjects. QuickShotSports.com is not required to edit, display or sell video submitted to it by Member. Member may ask QuickShotSports.com for advice on events, and QuickShotSports.com may offer event suggestions to videographers, but under no circumstances is such advice or suggestions to be construed as an assignment. It is possible, and in some events likely, that multiple Members may take and submit photographs of the same event. QuickShotSports.com may choose to use all, some or none of the photographs submitted by all, some or none of the Members from the same event.
Special Events.
From time-to-time, QuickShotSports.com may enter into exclusive or semi-exclusive photography agreements with event rights holders, such as state high school sports governing bodies, high school sports tournament owners or others. In such circumstances, or with other events as QuickShotSports.com in its sole judgment deems appropriate, QuickShotSports.com may offer certain Members an opportunity to enter into a Special Events agreement. Such Special Events agreements shall be separate and supercede this Member Agreement with respect to the Special Event referenced in the Special Events agreement between the Member and QuickShotSports.com.
Expenses and Equipment. Member is solely responsible for their own expenses and for the provision of their own video equipment, computer equipment, software and connection to the Internet.
Disclaimer of Liability.
QuickShotSports.com EXPRESSLY DISCLAIMS ANY LIABILITY FOR INJURY TO MEMBER, INJURY TO OTHERS CAUSED BY MEMBERS, FOR LOSS OF OR DAMAGE TO MEMBERS PROPERTY, INCLUDING PHOTOGRAPHIC EQUIPMENT, AND FOR LOSS OR DAMAGE OF PROPERTY OF OTHERS CAUSED BY MEMBER.
Consumer Identity.
The identity of users who visit QuickShotSports.com, and individuals who purchase video products from QuickShotSports.com, are the sole and exclusive property of QuickShotSports.com, Inc. and will not be disclosed to Member.
Accounts.
Member will receive an account that may be accessed at QuickShotSports.com via the Member's username and password assigned by QuickShotSports.com.
Confidential Information.
Account passwords are to be held by Member as Confidential Information and shall not be disclosed to third parties. Member shall maintain the confidentiality of any Confidential Information that QuickShotSports.com may provide to Member. Confidential Information means any information that is either designated as confidential by QuickShotSports.com or that under the circumstances surrounding the disclosure, ought to, in good faith, be treated as confidential by Member, including, without limitation, information concerning QuickShotSports.com present and future business, marketing plans, date testing and research techniques, inventions, processes, practices, trade secrets, and like information. QuickShotSports.com collects and stores personal information about Member for royalty payment and tax reporting purposes. This information includes mailing address, phone numbers and Social Security number. QuickShotSports.com will take reasonable care to safeguard Member's private information, and will not disclose, or convey such information to third parties unless compelled by force of law.
Royalty Payment Dates.
QuickShotSports.com, at its discretion, will either mail a check or send an electronic funds transfer to Members bank account for royalty fees owed to Member by the second business day, after receipt of collected and good funds from the buyer. Royalty fees owed on video that are commercially licensed through QuickShotSports.com or a third party are paid in the same manner - two business days, post the receipt of collected and good funds from the buyer.
Term.
The term of this Agreement shall end on June 30th of each year. The Agreement will automatically renew on an annual basis, unless terminated by either party. QuickShotSports.com will archive all video supplied by Member and will offer video products for sale for an indefinite period of time.
Termination.
This agreement may be terminated by either party, with, or without cause, upon ten (10) days written notice to the opposite party. Upon termination, QuickShotSports.com will forward any royalty fees due to Member within thirty (30) days of the termination date. Upon termination of the Agreement, QuickShotSports.com will disable access to Members account on QuickShotSports.com.
Governing Law.
This Agreement shall be construed in accordance with and all disputes hereunder shall be governed by the laws of the State of New Hampshire as applied to transactions taking place wholly within New Hampshire between New Hampshire residents without reference to that state's choice of law provisions.
Attorneys' Fees.
In any action to interpret or enforce this Agreement, the prevailing party shall be awarded all court costs and reasonable attorneys' fees incurred.
THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION WHICH AFFECTS YOUR LEGAL RIGHTS AND MAY BE ENFORCED BY THE PARTIES.
GOVERNING LAW; ARBITRATION.
This Agreement will be governed by the laws of the State of New Hampshire without regard to its conflicts of law provisions. Any dispute or claim arising out of, or in connection with, this Agreement shall be finally settled by binding arbitration in Concord, New Hampshire, in accordance with the then-current rules and procedures of the American Arbitration Association by one (1) arbitrator appointed by the American Arbitration Association. The arbitrator shall apply the law of the State of New Hampshire, without reference to rules of conflict of law or statutory rules of arbitration, to the merits of any dispute or claim. Judgment on the award rendered by the arbitrator may be entered in any California court of competent jurisdiction. The parties agree that, any provision of applicable law notwithstanding, they will not request, and the arbitrator shall have no authority to award punitive or exemplary damages against any party.

Changes.
QuickShotSports.com retains the right to make changes to the terms of this agreement upon notice to Members. Such notice to Members may be in the form of e-mail, and/or a posting on the QuickShotSports.com home page. Such changes shall be effective thirty (30) days after such posting.
Consent to Agreement.
Persons or organizations wishing to become a Member indicate their assent to the terms of this agreement by selecting "I Accept Agreement" on the QuickShotSports.com Video Network Member Application page on the QuickShotSports.com Web site. Prospective Member will be reviewed by QuickShotSports.com and notified via e-mail or phone concerning application acceptance. QuickShotSports.com is not obligated to accept prospective Member. QuickShotSports.com may seek additional information concerning Member application.
